Wholesale Terms & Conditions

Effective as of January 1, 2025
These Wholesale Terms and Conditions (“Terms”) govern the wholesale relationship between East Oak, a California-based company (“East Oak,” “we,” “our,” or “us”), and the business entity applying for wholesale purchasing privileges (“Customer,” “you,” or “your”). By registering for a wholesale account and placing a wholesale order through www.eastoak.com/collections/wholesale, you agree to be bound by these Terms, our Privacy Policy, and any applicable product-specific conditions.

1. Eligibility for Wholesale Accounts

Wholesale privileges are available to qualified small businesses in the United States that intend to use East Oak products in their operations. Eligible businesses include but are not limited to:

  • Restaurants
  • Wineries
  • Event venues
  • Hotels and hospitality businesses
  • Outdoor entertainment providers

To apply, businesses must complete our online registration form and submit the following:
• Legal business name
• EIN or state-issued resale certificate
• Business website, storefront, or social media presence (if applicable)
East Oak reserves the right to approve, reject, or revoke wholesale access at its sole discretion.

2. Minimum Order Requirements

Each product in our wholesale catalog may have a specific minimum order quantity (MOQ). These MOQs vary by product and will be clearly listed on the corresponding product landing page. Orders that do not meet the stated MOQ may be declined or placed on hold.

3. Resale Restriction

Wholesale purchases are intended for end-use by the purchasing business only. Resale of East Oak products through any channel is strictly prohibited, including but not limited to:

  • E-commerce platforms such as Amazon, eBay, or Walmart
  • Independent online stores
  • Brick-and-mortar retail locations

Violation of this policy will result in immediate termination of your wholesale account and potential legal action.

4. Pricing and Payment Terms

Wholesale pricing is available to approved wholesale customers only and is subject to change without notice. Prices do not include taxes, shipping, or handling unless otherwise stated.

Full payment is required prior to shipment unless other terms have been agreed upon in writing. Accepted payment methods include credit card, ACH transfer, and other methods listed at checkout.

5. Shipping & Delivery

Shipping fees and delivery methods will vary depending on order volume, destination, and product type. Shipping timelines, delivery options (e.g., white-glove service, palletized delivery), and estimated lead times will be shared during checkout or by your assigned account representative.

Estimated delivery timeline
Standard lead-time is 2 business days to dispatch; transit time within the contiguous US is 2–7 business days (Ground) or 5–10 business days (LTL). All ship-dates are estimates. East Oak shall not be liable for delays caused by force-majeure events (fire, strike, port congestion, acts of God). Buyer’s sole remedy for a delay exceeding 30 days is to cancel the unshipped portion without penalty.

Expedited shipping
UPS 2-Day or Next-Day Air available at Buyer’s cost; contact your account rep for a quote.

All orders must be inspected upon delivery. Any damage or missing items must be reported within 2 business days.

6. Returns, Exchanges & Restocking Fees

Wholesale purchases may be returned or exchanged under the following conditions:

  • Returns must be initiated within 7 days of delivery
  • Returned products must be unused and in their original packaging
  • A restocking fee of 20% will be applied to all returns and exchanges
  • Custom, made-to-order, or clearance items are non-returnable

All returns are subject to inspection and must be pre-approved by East Oak. Return shipping costs are the responsibility of the buyer unless the product arrived damaged or defective.

7. Tax Exemption

Businesses that qualify for sales tax exemption must submit a valid resale or exemption certificate prior to checkout. Tax-exempt status will apply only after documentation has been reviewed and approved by our team. East Oak is not responsible for any tax liability due to incorrect or expired certificates.

8. Account Suspension or Termination

East Oak reserves the right to suspend or terminate your wholesale account, cancel orders, or restrict future purchases in the event of:
• Violation of these Terms (including resale restrictions)
• Non-payment or chargeback disputes
• Misrepresentation of business status
• Abusive, fraudulent, or unethical conduct

9. Limitation of Liability

To the fullest extent permitted by California law, East Oak will not be liable for any indirect, special, incidental, or consequential damages, including lost profits or operational delays. Total liability will be limited to the value of the products purchased under the specific transaction giving rise to the claim.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute arising under or in connection with these Terms shall be resolved through binding arbitration in Santa Clara County, California, under the rules of the American Arbitration Association.
